A limited liability partnership (LLP) is a common business arrangement. Professionals, such as accountants, lawyers and others will often choose to acquire status as a limited liability partnership.
This type of partnership provides partners with more liability protection. General partnerships do not provide the same amount of liability protection.
In Yukon, a general partnership consisting of professionals can apply for “limited liability” status. They're able to apply for this status if they meet statutory requirements. This includes provisions in the legislation that license and regulate the profession.
Applying for a LLP status in Yukon is a 2-step process:
- Register as a general partnership.
- The partnership applies for LLP status in Yukon.
A general partnership cannot use “LLP” in their name. “LLP” is automatically added to the firm name once the LLP status is approved and filed in the registry.
The persons who've entered in a partnership with one another are called a “firm.” The name under which their business is carried on is called the “firm name.”
The next step is to decide on a firm name under which you want to carry on business in Yukon.
Reminder: do not use “LLP” in your application for the name reservation of your general partnership.

To obtain a certificate of name reservation, you must submit the following to our office:
- submit Form 1 ‒ Application for name reservation;
- pay the $60 fee; or
- complete the name reservation on the Yukon Corporate Online Registry (YCOR) and pay $40 by credit card.
Follow these steps for registering your firm name.
The proposed name has to follow the requirements of the Naming Regulation. If the name does this, we'll issue a certificate of name reservation. This is valid for 90 days.
The process can take up to 5 business days.
The certificate of name reservation is valid for a period of 90 days. Within the 90 days, you can proceed to complete the required documents.
Submit your application by the expiration date on the certificate. If you miss this date, you'll have to:
- resubmit an application for name reservation; and
- pay the in-person $60 fee or the $40 YCOR fee again.
When you receive your certificate of name reservation, submit the following forms in this order:
How to fill out the forms
The information you provide on the form must be legible. Also be sure to complete each section.
Declaration of partnership
Download and complete Form 4 ‒ Declaration of partnership.
Section 1: Name
The name must match the name appearing on the certificate of name reservation
Section 2: Date partnership formed
This date can be a previous date or the date of submission. However, it cannot be a future date.
Section 3: Address of business
“Delivery address” refers to a physical location. Include an address or other description to identify a person’s home or place of business. This does not include a post office box.
“Mailing address” refers to where you send mail. Include a complete mailing address, including the postal code. This address can be a person’s home, place of business or post office box.
Section 4: Partner designated as representative of the partnership
A designate does not need to be appointed. However, if a designate is not appointed, all partners must sign any renewals or changes to the partnership. Some changes may require all partners to sign.
Section 5: List partners in the partnership
List partners who are individuals and who are entities.
If the partner is an individual include:
- last name;
- first name; and
- mailing address.
Sign and date the form.
If the partner is an entity include:
- the name of the entity; and
- its Yukon registry number (the entity must be registered).
The individual signing for the entity must include their:
- last and first name;
- relationship to the entity; and
- mailing address.
When you’ve finished filling out the declaration, sign and date the form.
Application for registration as an LLP
Download and complete Form 12 ‒ Application for registration as an LLP.
Section 1: Name of partnership
The name must match the name appearing on the declaration of partnership, with the addition of LLP.
Section 2: Yukon registry number
Include the Yukon registry number for the partnership.
Section 3: Prescribed profession
Include the prescribed profession which 1 or more partners practise in Yukon.
Section 4: Name of practising partner
Include the name of each partner who practises the profession in Yukon. If a partner is an entity (corporation, society or partnership), include its registry number. Include the name of each individual practising the profession on behalf of the partner.
Section 5: Home jurisdiction of partnership
Include the home jurisdiction of the partnership.
Section 6: Name of partners
Include the names of the partners signing. If a partner is not an individual, include the name and title of each individual signing for them.
Section 7: Certify and sign
Check the appropriate box and sign the form.
Section 8: Date
Include the date you signed the form.
Statement from governing body of a prescribed profession
Download and complete Form 17 ‒ Statement from governing body of a prescribed profession.
Section 1: Name of partnership
The name must match the name appearing on the declaration of partnership, with the addition of LLP.
Section 2: Yukon registry number
Include the Yukon registry number of partnership.
Section 3: List partners
Include the name of each partner who practises the profession in Yukon. If a partner is an entity (corporation, partnership or society), include its registry number. Include the name of each individual practising the profession on behalf of the partner.
Section 4: Enactment governing profession
Include the name of the Yukon law that governs the profession.
Section 5: Name of governing body
Include the name of the governing body of the profession.
Section 6: Name and title
Include the name and title of the individual signing the statement on behalf of the governing body.
Section 7: Certification
Ensure the partnership and partners listed meet eligibility requirements and have liability insurance. To certify, include the signature of the individual signing on behalf of the governing body.
Section 8: Date
Include the date you signed the form.
Submit your documents and pay your fees
After the forms are completed, submit them along with the fees.
The cost of filing an application for declaration of partnership is $25. The cost of filing an application to obtain LLP status in Yukon is $200.
How to pay
You can pay by:
- cheque;
- credit card;
- cash; or
- debit card.
Cheque
Provide a cheque in the appropriate amount made out to Government of Yukon.
Credit card
We accept Visa, Master Card and American Express payment at the office. If you send your documents by fax, email or mail, provide a phone number where we can reach you. This is so you can give us your credit card information.
Cash or debit
Payment in cash or with a debit card can only be made in person at our office: 307 Black Street, 1st floor
Deliver your documents to us
You can drop off forms at our office or in our secure drop box in the lobby.
When you put your forms in our secure drop box, you can include:
- cash;
- cheque; or
- a payment information form to contact you for credit card payments.

Processing time
After we've accepted and filed all your documents, you'll receive a confirmation. The process can take up to 5 business days.
The registration will be valid for a period of 3 years. Before the expiry date, the partnership and LLP status must be renewed for the following 3 years.
