Under section 212 of the Business and Corporations Act, a corporation can dissolve voluntarily. The corporation’s responsibility is to review the section of the act that applies. Then, they must follow the proper procedure for the type of dissolution.
Fill out only 1 of the following documents:
- Form 19 ‒ Articles of dissolution (special case)
- Form 20 ‒ Statement of intent to dissolve (unsupervised liquidation)
- Form 23 ‒ Articles of dissolution (after unsupervised liquidation)
How to fill out the forms
The information you provide for each form must be legible.
Articles of dissolution (special case)
Download and complete Form 19 ‒ Articles of dissolution (special case).
Section 1: Name of corporation
Include the name of the corporation.
Section 2: Yukon registry number
Include the corporation’s Yukon registry number.
Section 3: If corporation has not issued shares
If the corporation has not issued any shares, used this section to enter the date of resolution of directors. If the corporation has issued shares, leave this section blank and fill out section 4.
Section 4: If corporation has issued shares
Use this section to include the dates of the special resolutions by each class of the shareholders.
Section 5: Name of individual signing
Include the name of the individual signing.
Section 6: Title of individual signing
Include the title of the individual signing.
Section 7: Certification of corporation actions
Check 1 of the 2 options:
- “the corporation has not issued any shares and does not have any properties or liabilities”; or
- “the corporation has distributed all its property and discharged all its liabilities”.
Section 8: Date of signature
Include the date the form was signed.
Statement of intent to dissolve (unsupervised liquidation)
Download and complete Form 20 ‒ Statement of intent to dissolve (unsupervised liquidation).
Section 1: Name of corporation
Include the name of the corporation.
Section 2: Yukon registry number
Include the corporation’s Yukon registry number.
Section 3: Dates of the special resolutions
Include the dates of the special resolutions by each class of shareholders of the corporation.
Section 4: Name of individual signing
Include the name of the individual signing.
Section 5: Title of individual signing
Include the title of the individual signing.
Section 6: Confirmation signature
Include the signature of the person confirming that “the corporation intends to voluntarily liquidate and dissolve under section 213 of the Business Corporations Act.”
Section 7: Date of signature
Include the date the form was signed.

Section 1: Name of corporation
Include the name of the corporation.
Section 2: Yukon registry number
Include the corporation’s Yukon registry number.
Section 3: Date certificate issued
Include the date the certificate of intent to dissolve was issued.

Section 5: Name of individual signing
Include the name of the individual signing.
Section 6: Title of individual signing
Include the title of the individual signing.

Include the signature of the individual signing.
Section 8: Date of signature
Include the date the form was signed.
If a corporation has filed Form 20 ‒ Statement of intent to dissolve but no longer wishes to continue with this process, they may revoke the intent to dissolve.
Statement of revocation of intent to dissolve
Download and complete Form 22 ‒ Statement of revocation of intent to dissolve.
The information you provide for the form must be legible. Also make sure to complete each section.
Section 1: Name of corporation
Include the name of the corporation.
Section 2: Yukon registry number
Include the corporation’s Yukon registry number.
Section 3: Date of special resolution
Include the date of the special resolution to revoke the certificate of intent.
Section 4: Name of individual signing
Include the name of the individual signing.
Section 5: Title of individual signing
Include the title of the individual signing.
Section 6: Confirmation signature
Include the signature of the person confirming that “the corporation revokes its statement of intent to dissolve on the following date.”
Section 7: Date of signature
Include the date the form was signed.

Processing time
The process can take up to 10 business days.
When filing form 19:
After all documents are accepted and filed, you'll receive a certificate of dissolution. This confirms that the corporation is no longer in existence as of the date shown on the certificate.
When filing form 20:
After all documents are accepted and filed, you'll receive a certificate of intent to dissolve. You'll receive a certificate of dissolution once the corporation has dealt with all of the requirements of sections 213(6) and 213(7), and has filed Form 23. The corporation is no longer in existence as of the date shown on the certificate.
Fees
There is no fee to dissolve a corporation.
