An extra-territorial corporation has to meet the requirements of subsection 267(1) of the Government of Yukon's Business Corporations Act. This means submitting your annual return by the last day of the month immediately following the month of the registration anniversary in Yukon.
For example, the registration anniversary is June 1, so the corporation must file its return by July 31 of that year.
When it’s time to prepare your annual return, download and complete Form 36 ‒ Annual return of extra-territorial corporation.
How to fill out the form
The information you provide on the form must be legible. Make sure you complete each section.
Section 1: Name
The name in this section must match with the name on file. If the corporation has a French name, then you must include the French name on the annual return.
Section 2: Registry number
Include the Yukon registry number.
Section 3: Assumed name
Include any assumed names. You must also be registered under section 87 of the Partnership and Business Name Act.
Section 4: Anniversary date
Include the registration anniversary date. This is the current year of the filing. The month and day are the date on the certificate of registration in Yukon.
Section 5: Notice of changes
Check the correct box. If there have been changes, you'll need to complete the applicable change forms.
Section 7: Attorney for service information
Include your attorney for service’s name and contact information.
Section 8: Alternative attorney for service
If you have an alternative attorney for service, include their name and contact information. If there is no alternative attorney for service, leave this blank.
Section 9: Name
Include the name of the individual signing.
Section 10: Title
Include the title of the individual signing.
Section 11: Signature
Include the signature of the individual signing.
Section 12: Date
Include the date the form was signed.
Check if you also need to complete these forms because of changes:
- Form 32 ‒ Notice of change to statement for registration as an extra-territorial corporation;
- Form 26 ‒ Statement for registration as an extra-territorial corporation; and
- Form 33 ‒ Notice of change of directors and directors addresses for a extra-territorial corporation.
On forms 32 and 26, only fill in the information that's changed. Use form 33 if there are changes to directors’ information.
No fees for the following changes:
- directors' names or addresses; and
- address of corporation.
If a change of address has occurred during the reporting period, it's reflected on Forms 32 and 26.
If the corporation name has changed submit:
- Form 26 and 32 above;
- a copy of the certificate of amendment from the home jurisdiction; and
- the $100 fee.
You can also submit and pay for your annual return on the Yukon Corporate Online Registry (YCOR). If you need to submit Form 32 or 26, you cannot file your annual report online.
After the form is completed, submit it along with the fee. The cost of filing an annual return for an extra-territorial corporation is $100 if there is no name change.
